1. Acceptance of Terms

Welcome to Talo. These Terms of Service ("Terms") govern your access to and use of the Talo platform, including our website, applications, and analytics services (collectively, the "Service") operated by Talo Pay Inc., a Delaware C Corporation ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

Talo is a software-as-a-service (SaaS) e-commerce analytics platform that provides:

• Real-time analytics dashboards displaying key performance metrics
• Funnel analytics to track customer journey from visit to purchase
• Automated performance reports delivered via email
• Integrations with major e-commerce platforms including Tienda Nube, Shopify, VTEX, Magento, WooCommerce, and Google Analytics

The Service is designed to help e-commerce businesses understand and optimize their store performance through data analytics and reporting. Talo is not a payment processor, payment gateway, or financial services provider.

3. Account Registration

To use the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use

You must be at least 18 years old and have the legal authority to bind the business entity you represent to these Terms.

4. Subscription and Payment

Access to the Service requires a paid subscription after the free trial period. By subscribing, you agree to:

• Pay all applicable fees according to your selected plan
• Provide valid payment information through our third-party payment processor
• Authorize recurring charges on a monthly or annual basis as applicable

All payments are processed by our third-party payment processor. Talo does not store or process payment card information directly. Subscription fees are non-refundable except as required by law or as expressly stated in these Terms.

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Talo Pay Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to your data. By using the Service, you grant us a limited license to access, process, and display your data solely to provide the Service to you.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.

6. User Data and Store Data

To provide the Service, Talo requires read-only access to your e-commerce store data. This includes:

• Order information (order ID, amount, date, status)
• Product data (names, prices, categories)
• Customer data (aggregated and anonymized for analytics purposes)
• Traffic and conversion data

You represent and warrant that you have the necessary rights and permissions to grant us access to this data. You are responsible for ensuring compliance with applicable data protection laws regarding your customers' data.

Our access is read-only; we do not modify, delete, or write data to your e-commerce platform. For more information on how we handle data, please refer to our Privacy Policy.

7. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Scrape, data mine, or extract data from the Service for unauthorized purposes
• Use the Service for competitive analysis or to build a competing product
• Share account credentials or allow unauthorized users to access your account

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TALO PAY INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination:

• Your access to the Service will be immediately revoked
• Your data will be retained for 30 days, after which it will be deleted
• Any unused portion of prepaid fees is non-refundable

We reserve the right to suspend or terminate your account immediately, without prior notice, if you breach these Terms or engage in prohibited activities.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Effective Date."

Your continued use of the Service after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
